The New Confirmation Statement for UK Ltd and LLP Companies


HMRC_Tax_Confirmation_Statement.jpgAs of 30 June 2016, UK Companies will no longer be required to file an annual return.

Instead, companies will file a confirmation statement with Companies House at least once a year.

The new confirmation statement will be an acknowledgement by the company that they have delivered all the information required to Companies House, during the period to which the confirmation statement relates.

Review Period

The review period will cover 12 months. For new companies this period will begin from the day of incorporation. For existing companies, the period will begin on the day after the previous review period. The confirmation statement must be provided within 14 days of the end of the relevant review period.

For example, if a company files an annual return for a period ended 31 May 2016, that company’s first confirmation statement would cover a period from 1 June 2016 to 31 May 2017 and would need to be filed with Companies House on or before 14 June 2017.

Information Provided

It will be possible to file the confirmation statement online and it will involve checking if the information held in relation to the Company is correct

This will include:

  • Registered office address*
  • Location of company registers*
  • Director information - name, services address and month and year of birth*
  • Secretary information (if applicable)*
  • Shareholder information**
  • Statement of capital**
  • Standard industry classification (SIC) code(s)**
  • Confirming that Companies House’s records are up to date
  • Paying the fee

* If this information needs to be updated, the confirmation statement should not be filed until Companies House has been advised of the change and date of change by filing the relevant form.

** If this information is in need of updating, this can be done as part of filing the confirmation statement.

The first filing of the Confirmation Statement will also involve providing information related to the Person with Significant Control (PSC). In all additional statements this information will just need to be confirmed, unless changes to the PSC register have taken place.


A Company must file a Confirmation Statement once per year. If the Company’s details change before the period end an additional confirmation statement can be filed with Companies House. A Company can file as many confirmation statements as it chooses, but it will only be charged a fee once every 12 months.

On 27 May 2016, Companies House confirmed that the charge related to filing a confirmation statement will be the same as the charge for filing an annual return (£13 to file online, £40 to file manually).

The aim of the confirmation statement is to provide Companies House with more information than the Annual Return, while also simplifying the filing process for individual companies.
