It is possible to register a company in the BVI within 24 hours and in many cases a same day service applies. Seven different types of companies can be formed under the BVI Business Companies Act 2004.
This legislation, which came into force in January 2005, strengthens and clarifies certain aspects of company law. The seven types of companies fall into four groups:
- Companies limited by guarantee
- Unlimited companies
- Segregated portfolio companies
- Restricted purpose companies
The latter category is in structured finance transactions. The new Act allows for three types of members – shareholders, guaranteed members and members of an unlimited company who are not shareholders. There is no concept of authorised share capital under the Act.
